Terms of Service

These terms are an agreement between [LEGAL ENTITY] ("we") and the business using WhoPaid ("you"). By creating an account or using the service, you agree to them.
1. What you get
We provide WhoPaid as a hosted service, accessed through a web browser. We grant you a non-exclusive, non-transferable right to use it for your own business while your account is in good standing. You may not resell it, offer it as a service to others, attempt to reverse-engineer it, or use it to process checks on behalf of businesses that are not your own without our agreement.
You are responsible for the people you authorise to sign in and for what they do in your account.
2. You must review the output
This matters more than anything else here. WhoPaid reads checks and proposes matches against your ledger. It is a tool that assists a person doing accounts-receivable work; it is not a replacement for that person's review. You are responsible for checking the results before you post cash, make a deposit, or rely on any export.
Where a check's written amount and numeric amount disagree, the service treats the written amount as controlling, consistent with Article 3 of the Uniform Commercial Code. This is a convenience, not legal advice, and does not shift responsibility for the deposit to us.
We do not warrant that every check will be read correctly. Handwriting, scan quality, and unusual check layouts all affect accuracy.
3. Your data
You keep all rights to the check images, ledgers, and records you upload. We process them to provide the service to you and for no other purpose. You are responsible for having the right to upload them and for complying with the rules that apply to you, including any obligations you have to your own customers regarding their banking information.
Original check images are deleted once the account and routing numbers have been masked, and in every case within hours of upload. Retention of redacted images and exports follows your account's retention setting. The privacy policy describes this in full and forms part of these terms.
4. Paying for it
WhoPaid is sold as prepaid credit packs or as a monthly plan. One credit is spent per check successfully processed. Prices are shown on the pricing page, and we may change them on notice; a change never applies to credits you have already bought.
Payments are handled by Stripe. Where a batch runs past your remaining credits, it still completes and the shortfall is settled against your next purchase or invoice. Amounts already paid are non-refundable, as set out in the refund policy.
5. Availability
We aim to keep the service available but do not guarantee uninterrupted access, and we do not commit to a processing time for any batch. We may take the service down for maintenance, and will give notice where the work is planned.
6. Ending the agreement
You may close your account at any time. We may suspend or close it if you breach these terms, if payment fails and is not resolved, or if the account is used in a way that damages the service. Before closure takes effect we will give you a reasonable opportunity to export your data, after which it is deleted. If we close your account without cause, we will settle any unused balance with you.
7. Warranty
The service is provided "as is". To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limit of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential damages, or for lost profits, lost data, or misapplied payments. Our total liability arising out of these terms is limited to the amount you paid us in the twelve months before the claim arose. Nothing here excludes liability that cannot lawfully be excluded.
9. Changes to these terms
We may update these terms. If a change materially affects your rights, we will notify account holders by email before it takes effect.
10. Governing law
These terms are governed by the laws of the State of [STATE], without regard to its conflict-of-law rules. The courts located in [STATE] have exclusive jurisdiction over any dispute.
